Our client is the Mesoamerican Latam Opportunities Fund. The fund’s largest investor is the Ontario Teachers' Pension Plan, Canada's largest single-profession pension plan, with $200 billion in net assets. The fund is managed by Central American specialists Mesoamerica, a sister company of Bain & Company.
Elemental worked with the above parties, Greenberg Traurig and EY on the structuring of a UK entity. The entity needed to meet requirements set out by the Canadian Pensions Regulator as well as relevant tax treaties.
We provide a full range of advisory services to support the UK entity: Board of Directors, Company Secretarial, accounting and tax, audit support and annual compliance. Since formation, the domiciliation services that Elemental has put in place have been audited by EY on behalf of the client to ensure that they are meeting all tax and regulatory requirements. We are proud to say that EY approved of all our actions and made no recommendations for improvement.
