Description

The subject matter of the contract is to provide the Ordering Party with access to an IT system in the SaaS model, commencing on the date of the system's production start-up, for a period of 48 months or until the value of the subject matter of the contract is exhausted, whichever occurs first, through which the Ordering Party intends to monitor and manage the fleet of vehicles held by it, for a maximum of 5,397 (five thousand three hundred and ninety-seven) vehicles divided into groups.
The subject matter of the contract is:1) providing the Ordering Party with an IT system in the SaaS model, starting from the date of the system's production start-up, for a period of 48 months or until the value of the subject matter of the contract is exhausted, whichever occurs first, through which the Ordering Party intends to monitor and manage the vehicle fleet in its possession, for a maximum of 5,397 (five thousand three hundred and ninety-seven) vehicles divided into groups;2) adapting the system to the basic requirements specified in Appendix No. 1 to the contract, entitled "Description of the subject matter of the contract" and in accordance with the provisions of the agreement. 2) adaptation of the system to the basic requirements specified in Appendix No. 1 to the contract entitled "Description of the subject of the contract" and in accordance with the descriptions contained in the pre-implementation analysis;3) delivery, assembly and disassembly in the vehicles of groups I-VI of monitoring devices that meet the requirements contained in Appendix No. 1 to the contract entitled "Description of the subject of the contract" and deactivation of the system in the vehicles of groups I-VI. 3) delivery, assembly and disassembly in the vehicles of groups I-VI of monitoring devices fulfilling the requirements included in Annex no. 1 to the agreement entitled "Description of the subject matter of the contract" and deactivation of monitoring devices located in the vehicles of groups II and III, as of the day of concluding the agreement, on dates specified in Annex no. 2 to the agreement entitled "Framework schedule 4) performance of the pre-implementation analysis in accordance with the requirements specified in appendix no. 1 to the contract entitled "Description of the subject of the contract", which in the course of the implementation of the monitoring devices in Group II and Group III vehicles shall be carried out in accordance with the terms and conditions of the contract. 4) conducting a pre-implementation analysis in accordance with the requirements specified in Appendix 1 to the contract "Description of the subject of the contract", which shall include a documented description of how the system meets the requirements specified in Appendix 1 to the contract "Description of the subject of the contract 5) conducting a training course in accordance with the principles specified in Schedule 1 to the Contract entitled "Description of the subject of the contract"; 6) conducting a training course in accordance with the principles specified in Schedule 1 to the Contract entitled "Description of the subject of the contract "6) delivery of documentation in accordance with the requirements specified in Annex 1 to the contract entitled "Description of the subject of the contract "7) provision of warranty services in accordance with the terms and conditions specified in Annex 1 to the contract entitled "Description of the subject of the contract 7) provision of warranty services according to the terms and conditions specified in Appendix 1 to the contract "Description of the Ordering Party";8) provision of support services according to the terms and conditions specified in Appendix 1 to the contract "Description of the Ordering Party 8) provision of support services according to the terms and conditions set forth in Appendix 1 to the contract "Description of the subject of the contract";9) development services constituting an option right not exceeding 2,000 (two thousand) hours according to the terms and conditions set forth in Appendix 1 to the contract "Description of the subject of the contract "10) implementation of the exit plan in accordance with the requirements specified in Annex 1 to the contract entitled "Description of the subject matter of the contract "Description of the subject matter of the contract".
