(1) The subject matter of the contract is the implementation of the task titled: Selection of a bank for granting and servicing a long-term credit of up to PLN 13,968,083.44 (in words: thirteen million nine hundred sixty-eight thousand eighty-three zlotys 44/100) for financing the planned deficit of the Tomaszów County budget and repayment of previously incurred liabilities. The Ordering Party reserves the right to take out a loan in an amount less than specified in this order and to repay the loan earlier, without incurring additional costs on this account.1) The planned date for taking out the loan - October 2022.2) The Contractor is obliged to mobilize the loan, successively transferring funds in tranches, at the written instructions of the Ordering Party, submitted ....... days in advance (the date of disbursement of the credit, credit tranches, is a criterion for bid evaluation). The credit will be disbursed no later than 31.12.2022.3) The Contractor will not charge a commission for the disbursement of the credit

The Ordering Party reserves the right to take out a loan in an amount less than specified in this order and to repay the loan earlier, without incurring additional costs on this account.1) The planned date for taking out the loan - October 2022.2) The Contractor is obliged to mobilize the loan, successively transferring funds in tranches, at the written instructions of the Ordering Party, submitted ....... days in advance (the date of disbursement of the credit, credit tranches, is a criterion for bid evaluation). The loan will be disbursed no later than 31.12.2022.3) The Contractor will not charge a commission for the disbursement of the loan and the disbursement of individual tranches.4) The Orderer reserves the possibility of not using the full amount of the allocated credit. The Ordering Party does not allow the Contractor to charge any additional bank fees and commissions on the unused part of the credit.5) Grace period for repayment of credit principal installments: until September 2023.6) Expected repayment of the loan: a) from October 2023 to December 2029 in 75 equal monthly installments of PLN 1,000.00 each, b) from January 2030 to August 2041 in 140 equal monthly installments of PLN 98,546.00 each,c) and the last equalizing installment of PLN 96,643.44 payable by September 30, 2041. 7) Loan installments payable on the interest payment date - by the last working day of each month.8) Interest calculated in monthly interest cycles in accordance with the applicable interest rates. The calculation of the amount of interest shall be based on the actual number of days occurring in a given year.9) Interest shall be calculated on the loan actually drawn on the outstanding amount of the debt. 10) Interest payments will be made from the date of disbursement of the loan.11) For the purpose of comparing bids:- the bid price (cost of the loan) should be calculated based on the WIBOR 1 M rate of ........................... of ..............%,- it is assumed that the loan will be disbursed once on 04.10.2022.12) The form of collateral for the loan - blank promissory note. The Treasurer will not countersign the blank promissory note. The countersignature of the Treasurer will be made on the loan agreement and on the promissory note declaration.13) The Ordering Party does not allow for loan repayment security in the form of a statement of submission to execution under art.777 of the Code of Civil Procedure.14) The Ordering Party reserves the right to make early repayment of the principal before the end of the loan period, i.e. before the end of September 2041, as well as the possibility of repaying the principal in installments and on dates other than those presented in the repayment schedule, provided that early repayment of the principal requires prior notification to the Contractor. The Contractor will not charge additional fees or commissions for the above activities. 15) The Ordering Party reserves the right to extend the repayment period of the loan without incurring fees and commissions .1) A detailed description of the subject matter of the contract and the terms and conditions of its execution are also described in the Material Provisions of the contract.
