We advised a company based in France on the purchase of the majority of the shares of an English company specialized in the Data Management and Business
intelligence market for major corporate and public organisations. Our law firm Berard & Lovell solicitors was involved in drafting and putting in place the share
purchase agreement involving an earn-out arrangement. We then drafted a shareholders’ agreement between the shareholders of the UK company. This was to cover a range of potential issues such as what is to happen when a shareholder wishes to sell its shares and as to corporate governance between the shareholders. Our engagements gave the UK company a solid foundation to thrive upon.
