Our instruction was to carry out a due diligence on a target client in the UK for a proposed acquisition by a large Italian group. The work involved a legal due diligence to review client contracts, employment contracts, as well as a financial due diligence. The latter involved a detailed review of the financial data including the accounts, forecasts and all taxes.
