Sherrards’ involvement included setting up the group companies in the UK; the drafting and negotiation of an investment agreement and a master franchise agreement; the registration of trademarks in the UK, and generally dealing with all IP and IT licenses and issues arising from the set-up, incorporating where relevant French law, Brexit and immigration law advice throughout the transaction.

The firm also assisted with other franchise contractual documentation (franchise agreements, terms of sale and/or purchase, addressing the risks attached to the supply of goods from the EU, online terms and GDPR, employment law documentation and property law issues to facilitate the conclusion of the transaction.) Sherrards also introduced the client to third party business enablers such as banks and real estate agents.

Sherrards will remain the legal advisor to this client for the ongoing development of the franchise and the future injection of capital into the UK group.
