Description

The subject matter of the contract is rental of apparatus and laboratory equipment for the International Institute of Molecular Mechanisms and Machines of the Polish Academy of Sciences, hereinafter referred to as IMOL PAN and is divided into three parts: 1. part I concerning: rental and delivery of apparatus and laboratory equipment to the place of research; 2. part II concerning: rental and delivery of apparatus and laboratory equipment to the building in which the Ordering Party carries out research; 3. part III concerning: rental and delivery of apparatus and laboratory equipment to the building in which the Ordering Party carries out research.
The subject matter of the contract is the lease of laboratory apparatus and equipment for a period of 15 months (guaranteed time) with an option to extend the lease period to 12 months. The detailed specification of the subject matter of the contract is described below.2. The apparatus and equipment will be leased on a continuous basis, from the date of delivery of the leased item to the end of the contract.3. The apparatus and equipment may not be made available to other users than the Employer's employees, unless the Employer consents thereto.4.The apparatus and equipment must be delivered to the premises indicated by the Ordering Party, in the building at 2c Banacha Street, where the Ordering Party's research laboratories are located.5.The Contracting Authority shall be responsible for protecting the equipment against loss and damage throughout the duration of the contract.7 The Contracting Authority, throughout the duration of the contract, shall be obliged to perform the necessary inspections and maintenance work on the equipment, obtain approvals and bear the costs of replacement of consumables at its own expense and risk.8. The Ordering Party is obliged to inform the Contractor about the above activities. The Contractor's consent is not required to undertake servicing activities, which the Contractor agrees to.9. The Ordering Party shall be obliged to use the subject matter of the order in accordance with its intended purpose, in a manner that ensures its long-term operation.10.In the event of permanent damage to or loss of any component of the subject matter of the contract, the Ordering Party shall be obliged to pay the Contractor the equivalent of the value of the component calculated as at the date of conclusion of the lease agreement. In case of disputes, the Ordering Party has the right to hire an expert to evaluate the disputed element of the subject matter of the contract.12. The Ordering Party stipulates that all laboratory apparatus and equipment will be used in research laboratories and cannot be used, among others, in the food industry. The Ordering Party requires the possibility to use the laboratory apparatus and equipment up to 30% of the time.3. The apparatus and equipment may be made available by the Contractor to other users, apart from the Ordering Party's employees, and the Ordering Party agrees to this.4.The apparatus and equipment must be available in the building where the Ordering Party's research laboratories are located, i.e. in the building at 2c Banacha St. in Warsaw.5. In the case of renting apparatus sets that have to be placed in specialist laboratories, the cost of renting must include the costs of access and use of the above-mentioned laboratories.6.The apparatus and equipment must be delivered and accepted after the termination of the lease by the Contractor at its own expense, risk and responsibility.8 The apparatus rental cost should take into account operating costs for the equipment in question (e.g. filters) as well as possible utility costs (e.g. electricity), which the Contractor shall be obliged to settle with the administrator of the building in 2c Banacha St. in Warsaw.9The Contractor shall be responsible for protecting the leased item against loss and damage throughout the term of the agreement.10. Throughout the term of the agreement, the Contractor shall be obliged to perform the necessary inspections and maintenance work on the leased item, obtain approvals and permits for the use of the leased item as well as bear the costs of replacement of operating elements at its own expense and risk.11.The Contractor shall immediately rectify any failures of the subject of the contract.12. The Contractor shall maintain the leased item in full working order for a minimum of 90% of the duration of the contract.13. If the leased item is damaged due to the fault of the Purchaser's employee, the Purchaser shall be responsible for the full range of service activities and the cost of the service. The Ordering Party shall be obliged to inform the Contractor about the above activities and obtain its consent prior to commencing the work.14. The Ordering Party undertakes to observe all regulations and rules of use and reservation of the subject matter of the contract (if required) specified by the Contractor, provided that these rules do not restrict the use of the apparatus and laboratory equipment to the full extent of its functionality.15.The Ordering Party may not, without the consent of the Contractor, make permanent modifications to the subject matter of the lease unless the modification concerns the extension of the subject matter of the lease with original elements originating from the manufacturer which can be safely dismantled at the end of the lease agreement.17. In the event of permanent damage to any of the elements of the subject matter of the contract, the Ordering Party shall be obliged to pay the Contractor the equivalent of the value of the element calculated as at the date of conclusion of the lease agreement. In case of disputes, the Ordering Party has the right to hire an expert to assess the disputed element of the subject matter of the lease.18. The Ordering Party stipulates that all laboratory apparatus and equipment will be used in research laboratories and cannot be later used, among others, in the food industry. The subject matter of the contract is rental of laboratory apparatus and equipment in monthly cycles over a period of 27 months. Detailed specification of the subject matter of the contract has been described below.2. Due to the cyclic nature of the laboratory works, the Ordering Party requires access to the equipment only during the months in which the works are performed. The Ordering Party will notify the Contractor 7 days in advance of the need to use the equipment (and of its delivery to the building at 2c Banacha Street in Warsaw).3. A monthly period means a full calendar month.4. The apparatus and equipment can be made available by the Contractor to other users, apart from the Ordering Party's employees, and the Ordering Party agrees to this.5. The apparatus and equipment must be available in the building where the Ordering Party's research laboratories are located, i.e. in the building at 2c Banacha St. in Warsaw.6. In the case of rental of apparatus or equipment that has to be placed in specialist laboratories, the rental cost must take into account the costs of access and use of the said laboratories.7.The equipment rental fee shall include operating costs for the equipment in question (e.g. filters) as well as possible utility costs (e.g. electricity), which the Contractor shall be obliged to settle with the administrator of the building at 2c Banacha St. in Warsaw.9.Throughout the entire term of the contract, the Contractor shall be obliged to perform the necessary inspections and maintenance work on the subject of the order, obtain approvals and permits for using the subject of the order as well as bear the costs of replacing the exploitation elements at its own expense and risk.11. The Contractor shall be obliged to immediately remove failures of the subject of the order.12.The Contractor shall be obliged to maintain the subject matter of the contract in full working order for a minimum of 90% of the time in a month when the apparatus and equipment are used by the Purchaser.13. Should the subject matter of the contract be damaged through the fault of a Purchaser's employee, the Purchaser shall be responsible for the full scope of maintenance activities and the cost of servicing. The Ordering Party shall be obliged to inform the Contractor about the above-mentioned activities and to obtain the Contractor's consent prior to commencing the work.14. The Ordering Party shall be obliged to observe all regulations and rules of use and reservation of the subject matter of the contract (if required) specified by the Contractor, provided that these rules do not restrict the use of the apparatus and laboratory equipment to the full extent of its functionality.15.The Ordering Party may not, without the consent of the Contractor, make permanent modifications to the subject matter of the lease unless the modification concerns the extension of the subject matter of the lease with original elements originating from the manufacturer which can be safely dismantled at the end of the lease agreement.17.
