(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.

(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.

Therefore, the offeror's initial offer should contain the offeror's best terms. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

52.212-2, EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
(i) Past performance and (ii) Price (see FAR 15.304); and include them in the relative order of importance of the evaluation factors, such as in descending order of importance.)
Past Performance is equal to price.
Past Performance. This consists of two parts. Offers are to provide a summary of past work within these areas:
- Relevance - Relevance addresses how closely past work associates with the current requirement.
- Recency - Performance older than 3 years may not be rated as highly as performance in the past year.
There is no minimum number of projects or contracts to be listed. Provide narrative regarding the size of the requirements (scope and dollar magnitude) and to the kind of customer (military, etc...). References are encouraged.
Relevance will be judged on the following scale:
Past Performance Relevance Ratings
Rating Definition
Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat
Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
Based on evaluation results of the 2 Past Performance Subfactors, the Past Performance Factor will be assigned one of the following Performance Confidence Assessments:
Performance Confidence Assessments
Rating Definition
Substantial Confidence Based on the offeror's recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.
Satisfactory Confidence Based on the offeror's recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Neutral No recent/relevant performance record is available or the offeror's performance record is so sparse that no meaningful confidence assessment rating can be assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.
Limited Confidence Based on the offeror's recent/relevant performance record, the Government has a low expectation that the offeror will be able to successfully perform the required effort.
No Confidence Based on the offeror's recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.
Price. While price is an important factor, it is not more important than Past Performance. Price must be reasonable and it must reflect market pricing. Pricing that is too low may be deemed as unrealistic, and could be interpreted to mean the offeror does not account for all of the cost implications of the work.
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
